These Terms of Service ("Terms") govern your access to and use of the DriverPass website (https://driverpass.com), the DriverPass Driver mobile application, and all related services (collectively, the "Services") provided by DriverPass Inc. ("DriverPass," "we," "us," or "our").
By creating an account or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use our Services.
1. Eligibility
- You must be at least 18 years of age to use our Services.
- If you are a commercial driver, you represent that you hold a valid commercial driver's license (CDL) and all necessary permits to operate a commercial motor vehicle.
- If you register as a fleet, broker, or shipper, you represent that you are authorized to act on behalf of your company.
2. Account Registration
- You may create an account using your phone number (verified via OTP), email, or Google OAuth.
- You are responsible for maintaining the confidentiality of your account credentials.
- You agree to provide accurate, current, and complete information during registration.
- You must notify us immediately of any unauthorized use of your account.
- We reserve the right to suspend or terminate accounts that violate these Terms.
3. Services Description
DriverPass provides a platform connecting shippers, brokers, fleet managers, and drivers for freight transportation management. Our Services include:
- Secure Trip: Trip creation, assignment, tracking, pickup verification, and proof of delivery management.
- Driver App: Mobile application for drivers to receive trip assignments, perform GPS tracking, verify pickups, and upload proof of delivery.
- Dashboard: Web-based management portal for shippers, brokers, and fleet managers to create and monitor trips.
- FMCSA Verification: Carrier lookup and verification using public FMCSA data.
- Rate Confirmation Parsing: Automated extraction of trip details from uploaded documents.
- Earnings Tracking: Driver-side earnings estimation based on self-reported pay rates.
4. Driver Obligations
If you use the DriverPass Driver application, you agree to:
- Enable location services (including background location) during active trips to allow real-time shipment tracking.
- Complete the pickup verification process honestly and accurately.
- Upload authentic, unaltered proof of delivery photos.
- Not use GPS spoofing, mock locations, or any technology to falsify your position.
- Comply with all applicable federal, state, and local transportation laws and regulations.
- Not use the application while driving in a manner that creates a safety hazard.
5. Shipper, Broker & Fleet Obligations
If you use the DriverPass dashboard or Secure Trip features, you agree to:
- Provide accurate shipment information including addresses, dates, and rates.
- Not misrepresent load details, compensation, or delivery requirements.
- Verify pickup events in a timely manner when requested.
- Use public tracking links and shared data solely for legitimate business purposes.
- Comply with all applicable freight brokerage and shipping regulations.
6. Location Tracking & Privacy
- GPS tracking data is collected during active trips for the purpose of shipment tracking and delivery verification.
- Tracking data may be shared with the trip creator (shipper/broker) and fleet manager via the dashboard and public tracking links.
- We do not track drivers when they are not on an active trip (except during voluntary GPS testing).

7. Proof of Delivery (POD)
- Drivers are required to upload proof of delivery photos upon completing a delivery.
- POD photos become part of the trip record and are accessible to the trip creator and fleet manager.
- You must not upload fraudulent, inappropriate, or unrelated images as POD.
8. Intellectual Property
- All content, design, code, logos, and trademarks on our Services are owned by DriverPass Inc. or its licensors.
- You may not copy, reproduce, distribute, or create derivative works from our Services without written permission.
- You retain ownership of content you upload (photos, documents) but grant us a license to use it in connection with providing our Services.
9. Prohibited Conduct
You agree not to:
- Use the Services for any illegal purpose
- Interfere with or disrupt the Services or servers
- Attempt to gain unauthorized access to any part of the Services
- Use automated tools (bots, scrapers) to access the Services without permission
- Impersonate another user or entity
- Upload malware, viruses, or malicious content
- Harass, abuse, or harm other users
- Circumvent security measures or location verification systems
10. Fees & Payments
- Creating a DriverPass driver account is free.
- Certain premium features or services may require payment in the future, which will be communicated in advance.
- DriverPass does not process payments between shippers/brokers and drivers. Payment arrangements for freight services are between the contracting parties.
- Earnings estimates displayed in the Driver App are calculated from self-reported pay rates and are for informational purposes only.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DISCLAIM ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- GPS accuracy depends on device hardware and environmental conditions.
- Rate confirmation parsing is best-effort and may not extract all fields correctly.
- FMCSA data is sourced from public records and may not reflect real-time status.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DRIVERPASS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
DriverPass is not responsible for:
- Delayed or failed deliveries
- Damaged or lost cargo
- Disputes between drivers, carriers, shippers, and brokers
- Inaccurate GPS data or tracking interruptions
- Decisions made based on earnings estimates
13. Indemnification
You agree to indemnify and hold harmless DriverPass Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.
14. Termination
- You may delete your account at any time by contacting us.
- We may suspend or terminate your access to the Services at our discretion, with or without cause, and with or without notice.
- Upon termination, your right to use the Services ceases immediately.
- Provisions that by their nature should survive termination will survive (including liability limitations, indemnification, and dispute resolution).
15. Governing Law & Dispute Resolution
- These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles.
- Any disputes arising from these Terms or the Services shall be resolved through binding arbitration or in the courts of Ontario, Canada.
16. Changes to These Terms
We may modify these Terms at any time. Updated Terms will be posted on this page with a new "Last Updated" date. Your continued use of the Services after changes constitutes acceptance of the updated Terms.
